MetaChips.ai Terms and Conditions

Welcome to MetaChips.ai! These Terms and Conditions ("Terms") govern your access to and use of our website, services, and applications (collectively, the "Platform"). By accessing or using our Platform, you ("User," "Member," or "Expert") agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use our Platform.

1. Acceptance of Terms

By creating an account, accessing, or using any part of our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These Terms constitute a legally binding agreement between you and AllyIn.ai.

2. Eligibility

To access and use our Platform, you must be at least 16 years of age. By using our Platform, you represent and warrant that you meet this age requirement. If you are under the age of 16, you are not permitted to use this Platform.

3. User Accounts

To access certain features of the Platform, you may be required to register for an account. You agree to:

  • Provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • Maintain the confidentiality of your password and account and be fully responsible for all activities that occur under your password or account.
  • Immediately notify MetaChips.ai of any unauthorized use of your password or account or any other breach of security.
  • MetaChips.ai cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

4. Content Responsibility and Guidelines

4.1 Your Content

You are solely responsible for any content, including but not limited to text, images, videos, links, discussions, blog posts, and any other materials (collectively, "User Content"), that you post, upload, publish, display, link to, or otherwise make available on the Platform.

4.2 Prohibited Content and Conduct

You agree not to post, upload, or transmit any User Content that:

  • Violates any applicable local, state, national, or international law or regulation.
  • Is false, misleading, or fraudulent.
  • Is defamatory, obscene, pornographic, vulgar, offensive, or promotes discrimination.
  • Infringes upon the intellectual property rights (including copyrights and trademarks) of others.
  • Contains viruses, corrupted data, or other harmful, disruptive, or destructive files or code.
  • Promotes or facilitates illegal activities.
  • Harasses, abuses, or harms another person.

4.3 AI Policy

Strictly Prohibited: The use of Artificial Intelligence (AI) to generate, draft, or produce any part of blog posts, discussion contributions, or any other primary content intended for sharing by Experts or Members on this Platform is expressly forbidden. All content submitted must be original and created solely by a human user.

4.4 Moderation

All User Content, particularly blog posts and discussion contributions, will be directly submitted to our moderators for review. Our moderators will assess all submissions to ensure they comply with our community guidelines, which include, but are not limited to, verification of no AI generation, adherence to safety standards, and overall helpfulness and relevance to the Platform's purpose. MetaChips.ai reserves the right, but has no obligation, to remove or refuse to post any User Content that, in our sole discretion, violates these Terms or is otherwise objectionable.

5. Intellectual Property and Content Usage

By sharing any User Content on our Platform, you grant MetaChips.ai a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Platform and MetaChips.ai's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Platform (and derivative works thereof) in any media formats and through any media channels.

Furthermore, by sharing information on our Platform, you acknowledge and agree that other Members and Experts may be able to see, use, reproduce, and copy your User Content for their personal, non-commercial use within the confines of the Platform.

6. Disclaimer of Warranties; Limitation of Liability

YOUR USE OF THE PLATFORM IS SOLELY AT YOUR OWN RISK. THE PLATFORM AND ALL CONTENT, MATERIALS, AND SERVICES PROVIDED ON THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

METACHIPS.AI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

IN NO EVENT SHALL METACHIPS.AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

7. Indemnification

You agree to defend, indemnify, and hold harmless MetaChips.ai, its affiliates, licensors, and service providers, and its respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your User Content, any use of the Platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform.

8. Account Suspension and Termination

Failure to follow these Terms may result in the immediate suspension or termination of your account and access to the Platform at our sole discretion, without prior notice or liability. We reserve the right to remove any User Content at any time and for any reason.

9. Changes to Terms and Conditions

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the Platform.

10. Notices and Communications

By using our services, you agree that we may send you notices and messages using the contact information you provided. This includes updates regarding your account, the Platform, or these Terms. You may also receive notifications if your post is officially published on the website.

11. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Santa Clara County, California, and you hereby irrevocably consent to the personal jurisdiction and venue therein.

12. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and MetaChips.ai regarding the use of the Platform.
  • Waiver and Severability: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect.
  • Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer without such consent will be null and void. We may assign or transfer these Terms at our sole discretion without restriction.
